Terms and Conditions of Use
Last updated: July 12, 2026
1. Purpose
These Terms of Use govern access to and use of the Yaxantu platform (hereinafter “the Platform”), operated by Yaxantu. The Platform allows merchant partners to create, configure, and manage their online stores, and enables visitors to view product offerings.
2. Acceptance of the Terms and Conditions
By accessing the Platform and creating a partner account, you unconditionally accept these Terms of Use. If you do not accept these terms, please do not use the Platform.
3. Description of Services
Yaxantu is a centralized e-commerce platform that allows merchants to:
- Create and manage an online store using a free subdomain (my-store.yaxantu.store) or a custom domain
- Manage a product catalog, orders, and customers
- Set up local and international payment methods
- Set delivery zones and options
- Access a management dashboard
- Enjoy a dedicated website and compatibility with the platform's unified mobile app
4. Registration and Activation
4.1 Creating a Partner Account
To become a merchant partner, you must:
- Provide accurate and complete information (name, email address, phone number)
- Choose an available store name
- Select a subscription plan
- Activate your account using the confirmation link sent by email
You are responsible for keeping your login credentials confidential and for all activities carried out through your account.
Partners set up their own stores (free subdomain or custom domain, product catalog, shipping, and payments) from their dashboard. They can contact support if they need assistance.
4.1 Service Delivery
The service is considered delivered on the date Yaxantu activates your account and makes the dashboard available. This date marks the start of the subscription cycle and is notified to the partner via email.
4.2 Start of Recurring Billing
Recurring billing begins on the service delivery date. The first billing period may be prorated if the service is delivered during the middle of a billing cycle. Starting on that date, the monthly fixed fees specified in the plan apply.
5. Subscriptions and post-usage billing
5.1 Billing Cycle
Billing is on a post-usage basis: on the 1st of each month, Yaxantu issues an invoice summarizing the fixed fees and overage charges (media storage, additional users) incurred during the previous month. The partner has fifteen (15) days from the date the invoice is issued to pay it.
5.2 Billable Items
The monthly charges include, among other things:
- The fixed costs of the plan you subscribed to (hosting, maintenance, backups, and the website)
- Media Storage Overages
- Additional employees beyond the included quota
5.3 Plan Modification
The partner can change their plan at any time. The new plan takes effect immediately. The next invoice will include a prorated charge for both the old and new plans for the applicable period.
6. Termination
6.1 Termination by the Partner
The partner may cancel their subscription at any time from their dashboard. Cancellation is subject to the following conditions:
- The partner must have paid all amounts due, including the full amount for the current month and all unpaid amounts from previous months.
- Payment of these amounts must be confirmed before the termination takes effect
Once these conditions are met:
- Access to the service is maintained through the last day of the current month
- After this date, the service will be deactivated, and the domain and data will be permanently deleted after a period of thirty (30) days.
6.2 Termination by Yaxantu
Yaxantu reserves the right to suspend or terminate an account in the event of a violation of these Terms of Service, without prior notice or compensation.
7. Unpaid Bills and Suspension
7.1 Failure to Pay
Any invoice that remains unpaid by its due date triggers the following procedure:
- Day 1: First follow-up email
- Day 3: Second follow-up email
- Day 7: Third and final email reminder, including a formal notice
- Day 10: Immediate suspension, without prior notice, of access to the Platform, the dashboard, and the online store
The partner is notified by email at each stage of the process.
7.2 Suspension of Service
In the event of a suspension, the online store, the dashboard, and all features will become inaccessible. Data is retained for a maximum of thirty (30) days following the suspension. After this period, it is permanently deleted.
The suspension does not terminate the obligation to pay. Monthly fees continue to accrue until the contract is effectively terminated.
7.3 Reactivation
The partner may resolve the issue at any time by paying the full amount owed. Service will be reinstated within twenty-four (24) business hours following confirmation of payment. A reinstatement fee may apply; the amount will be communicated to the partner prior to the settlement.
8. Partner Obligations
The partner agrees to:
- Comply with all laws and regulations applicable to its business
- Do not use the Platform for fraudulent or illegal purposes
- Do not infringe on the intellectual property rights of third parties
- Do not attempt to circumvent the Platform's security measures
- Do not resell or sublet access to the Platform without authorization
- Provide valid payment methods and keep your billing information up to date
9. Intellectual Property
The Platform, its source code, design, logos, and trademarks are the exclusive property of Yaxantu. Content published by merchants (text, images, products) remains their property. The partner grants Yaxantu a non-exclusive license to host and display this content as part of the Platform’s operation.
10. Personal Data
The processing of personal data is governed by our Privacy Policy. You can request that your account and data be deleted through our dedicated page. Yaxantu acts as a data processor for merchants' customer data and as a data controller for partners' data.
Enhanced protection: Email addresses, phone numbers, and shipping addresses are end-to-end encrypted, ensuring their confidentiality even in the event of unauthorized access to our infrastructure. See our Privacy Policy For more details.
11. Liability
Yaxantu strives to ensure the Platform’s continuous availability, but cannot guarantee that there will be no interruptions whatsoever. Yaxantu’s liability is limited to direct and proven damages resulting from a proven breach of its contractual obligations. Yaxantu shall not be held liable for any loss of revenue, loss of profits, or damage to the partner’s reputation.
12. Changes to the Terms of Use
Yaxantu reserves the right to modify these terms at any time. Partners will be notified by email of any substantial changes. Continued use of the Platform after the changes take effect constitutes acceptance of the new terms.
13. Governing Law and Jurisdiction
These Terms of Use are governed by applicable law. Any dispute regarding their interpretation or enforcement shall be subject to the jurisdiction of the competent courts.
